This agreement

These terms are between Candensa (London, United Kingdom, registration [COMPANY REGISTRATION NUMBER]), which operates Folio (“we”), and the church or organisation that signs up (“you”). They also apply to people who give a church a plan, read a church’s share pages, subscribe to its emails or use its Ask. Where a term only fits one of these, it says so.

How you accept. A person signing up a church ticks “I agree to the terms and the privacy policy” in the setup steps. That person confirms they can bind the church. We record the version of these terms they accepted, the time and the account. If you do not agree, do not tick the box and do not use the service. When we publish a new version that needs your agreement again, we ask the owner to accept it before they continue.

Folio is a service for churches and other organisations. If a person uses it for personal purposes, the rights the law gives every consumer still apply and nothing here limits them. Our privacy policy and, for churches, the data processing addendum are part of this agreement.

What Folio does

Folio turns a church’s recorded teaching into transcripts, notes, scripture checks and answers. Members see only what the church has approved. Drafts are visible to staff and never served to members, shared pages, email, the widget or the public API.

A person at the church approves each note by default. A church can switch on automatic approval for notes that pass our checks. It is off by default and an owner has to acknowledge it. Approval, by a person or automatic, is the church’s decision and responsibility, and a page says which kind it was.

Answers and notes are written by a language model from the church’s approved teaching. They can be wrong or incomplete. They are not pastoral, medical, legal or crisis advice. The church must review its drafts and answers before relying on or publishing them, and must not present them as a pastor’s personal counsel.

Care and crisis features. Ask screens questions for wording about self-harm, abuse, violence and medical emergencies, shows helplines, and creates an alert for the church. This is a safeguard, not a monitored emergency service. We do not promise that every crisis will be detected, that a church will see an alert in time, or that anyone will respond. The church must keep its care contacts up to date and remains responsible for pastoral care. See the privacy policy for what is stored.

Beta and flagged features. A feature marked beta, early access or off by default may change, be limited or be withdrawn, and carries no service commitment.

Accounts and responsibility

The church is responsible for everyone it invites, their roles, and everything done under its sign-ins, API keys, webhook secrets and devices. Give people the least access they need, keep credentials private, turn on two-step verification, and tell us at once if one is exposed. The owner must keep contact details current. We may rely on instructions from a church owner.

Support and platform access. Folio staff do not have standing access to a church’s content. Platform administrators see counts, statuses, errors and timings. An owner can grant time-limited support access (by default 24 hours, at most 7 days), read-only or able to edit, with Ask conversations included only if the owner chooses. Billing, API keys, audience lists, exports and note policy stay hidden even then. Each entry and action is recorded and the owner is told.

Your teaching and what you upload

Teachings, transcripts, notes, questions, team access and usage data belong to the church. You give us a limited licence to store, process, transcribe, analyse, back up and display them, and to send them to our providers, only to run the service for you and to publish what you choose to publish. We do not use a church’s content to train or fine-tune models. The licence ends when the content is deleted, apart from backups that roll off as described in the privacy policy.

You warrant that you own or have the right to upload each recording and text and to have it transcribed and processed, including the permission of guest speakers, musicians, translators, people who appear or are named, and parents or guardians of any child who appears; that you hold any licence needed for songs, readings, slides and other third-party material; and that what you publish does not infringe anyone’s rights or the law. Flag a guest speaker’s teaching in the app. Quote others fairly and name them.

Generated content. As between you and us, you own the notes, outputs and answers generated from your content, and we claim no rights in them. They are drafts. They may be similar to what others receive, may not qualify for copyright in some countries, and carry no warranty of accuracy or fitness. You are responsible for what you approve and publish.

If you unpublish or retract something, the page is withdrawn from public view. Copies already read, cached by others, or sent by email cannot be recalled.

Scripture text

Scripture is quoted from the King James Version (the Authorized Version, Standard Text). Folio offers no other translation. The King James Version is in the public domain in the United States. In the United Kingdom the Crown holds letters patent over its printing and publication, which Cambridge University Press administers as the Crown’s patentee, and quotation is generally permitted under the patentee’s published permissions.

You are responsible for any other text you type or upload yourself. If you quote another translation in a teaching, Folio does not check or supply it and may mark it unverified. You are responsible for any licence it needs.

Acceptable use

You and the people you invite must not use Folio to:

  • break the law or anyone’s rights, or upload content you have no right to use;
  • create or publish content that incites violence or hatred against people for who they are, harasses or threatens people, or sexually exploits or endangers children;
  • deceive people, for example by presenting a draft or an automated answer as a pastor’s own words, impersonating a person or organisation, or posting fake approval;
  • send email, text or WhatsApp messages to people who have not agreed to receive them, or ignore an unsubscribe;
  • attempt to read another church’s content, test security outside our disclosure policy, or bypass limits, plan allowances or metering;
  • overload, scrape or reverse engineer the service, or use it to build a competing product;
  • use outputs or the API to train a general-purpose model;
  • upload malware, or content that tries to manipulate the language model into revealing other churches’ data or ignoring its rules.

We may remove content, limit a feature or suspend an account that breaks this section or puts people at risk, and we will tell the owner why when we can.

Trial, plans, billing and cancellation

Trial. Every church starts with a 14-day trial and needs no card. If a card is on file when the trial ends, the trial converts to the paid plan and we charge the card. Otherwise the church becomes read-only. Nothing is deleted or charged. We email reminders before the end.

Paid plans. Plans are billed monthly or yearly in advance at the price on the pricing page when you subscribe, in US dollars, pounds, euros or Nigerian naira according to your country. Plans include monthly allowances. Beyond an allowance you can buy an add-on or pay the overage rate shown there, up to any cap you set. Taxes are added where we must charge them, and you provide a correct tax number and address. Payments are taken by the providers listed on the sub-processors page and their terms apply to the payment.

Changes and cancellation. You can upgrade or change a plan from the app. A change shows the prorated charge or credit before you confirm. Cancelling stops the next charge, and access continues to the end of the period paid. Scheduling a church’s deletion also cancels renewal.

Failed payments. If a payment fails we retry and email billing contacts. The church keeps full access for a 14-day grace period and then becomes read-only until a payment goes through. Read-only means you can read and export but cannot add transcription hours, generations, Ask messages or email sends. Nothing is deleted because a payment failed.

Refunds. Fees are not refundable except as stated here, where the law requires it, or where we decide in a particular case. Refund requests go to [email protected]. Gifts are refunded as described below. Your statutory rights are not affected.

Price changes. We give church owners at least 30 days’ notice by email of a price increase, which takes effect from the next renewal; you can cancel before then.

Gifts

You can pay for a church’s plan for 1, 3 or 12 months, or as a plan that repeats until you stop it. The church receives an email with a link to accept it. A gift is charged when you pay. The church can decline it. You can cancel it before it is accepted.

If a gift is cancelled, declined, or not accepted within 90 days, you are refunded through the payment provider. If the provider cannot refund automatically, we arrange it with you. A repeating gift can be stopped, and the church keeps access to the end of the period already paid. A gift is not a donation to us and is not tax deductible.

Export, ending and deleting

You can export your church’s data from the app: one archive every 24 hours, available for 7 days, with recordings as time-limited download links. You can schedule the church’s deletion at any time. Deletion begins after a 14-day grace period, can be cancelled until it starts, and cannot be undone afterwards. Backups roll off as the privacy policy describes.

A church that stops paying becomes read-only and its data stays. We do not currently delete it automatically, and we may introduce a deletion period on at least 90 days’ notice to the owner. We may suspend or end an account for breach of these terms, non-payment after the grace period, legal requirement or risk to others, and may end the service to everyone with at least 90 days’ notice, refunding prepaid fees for the remaining period.

API, webhooks, keys and sandbox

  • Keys carry the scopes you give them. Store them server-side, never in a page or an app a member can open, rotate them if exposed, and use an IP allow-list where you can.
  • Requests are rate limited, by default 120 a minute per key and 3,000 a minute per church. Do not work around limits. A limited request gets a 429 with Retry-After.
  • Webhooks are signed. Verify the signature and the timestamp, and deduplicate on the delivery id. Register only endpoints you control.
  • Test keys and sandbox churches are for testing only. They have small caps, expire after 30 days, and carry no uptime promise. Do not put real members’ data in them.
  • Do not use the API to build a service that stores or exposes another church’s content, to send spam, or for anything in the acceptable use section.
  • We announce breaking changes at least 365 days before removing an API version.

Partners and resellers

A partner is a church or company that creates and runs churches through the API under its own account. The partner confirms it has the authority of each church it creates, tells the church what the partner can see and do for it (including its teachings, Ask conversations and billing reads), and makes sure the church’s owner can accept these terms and the privacy policy. Each church is its own customer. It owns its content and its data processing addendum is with us. The partner is responsible to us for its own use of the API, for its keys, and for fees on its plan. A partner’s access to a church ends when the link is removed or the church is deleted. Every call a partner makes for a church is logged on both accounts.

Third-party services

The service connects to providers you choose or we use, such as YouTube, Google Drive, Dropbox, OneDrive, Vimeo, Zoom, social platforms, payment, email, speech and language-model providers. Their terms apply to your use of them. We are not responsible for a third party’s service, and you must have the right to connect the accounts you link. The speech and language-model providers we use are listed on the sub-processors page. Links to other sites are not endorsements.

Availability and support

We work to keep Folio available but make no uptime or response-time commitment, and the service is not an emergency or safety service. Live captions and streaming depend on your encoder and network and on providers we use. We may carry out maintenance and will try to give notice of planned downtime.

No warranty

To the extent the law allows, the service is provided “as is” and “as available”, without warranties of any kind, including accuracy of any transcript, note, answer, scripture check or caption, fitness for a particular purpose, and non-infringement. Nothing here excludes a warranty or right that the law does not allow to be excluded.

Liability and indemnity

Nothing limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or anything that cannot be limited by law. Subject to that, we are not liable for indirect or consequential loss, loss of profit, revenue or goodwill, or for any decision made or content published from a draft that was not checked. Our total liability for all claims in a 12-month period is limited to the fees you paid us in the 12 months before the first claim, or, where you paid nothing, to 100 US dollars.

You will defend and compensate us against third-party claims that arise from content you upload or publish or from your breach of the acceptable use section, where the claim would not have arisen without that. We will defend and compensate you against a third-party claim that the service itself, used as these terms allow, infringes that party’s intellectual property rights. The indemnified party must tell the other promptly, let them control the claim, and cooperate.

Governing law and disputes

These terms are governed by the law of [GOVERNING LAW]. Disputes go to [COURTS OR ARBITRATION SEAT]. Before starting a claim, the party with the complaint writes to the other and both try in good faith to settle it within 30 days. Consumers keep any right to bring a claim in their home courts that the law gives them.

General

  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, such as outages of internet or infrastructure providers, war, disaster, strike or government action. Payment obligations are not excused.
  • Sanctions and export. You will not use or give access to the service in breach of sanctions or export laws, or from a sanctioned country or person.
  • Changes. We may update these terms. For a material change we email church owners at least 30 days before it applies, and the current version is always on this page. If you do not accept, cancel before the date. Using the service after it applies is acceptance, and where the law or the setup flow requires, we ask for acceptance again.
  • Notices. We give notice by email to the owner and billing contacts and by notice in the app. You give notice to [email protected].
  • Assignment. You may not transfer this agreement without our consent. We may transfer it with a merger or sale of the business, with notice to you.
  • Entire agreement, severability, waiver. These terms, the privacy policy, the data processing addendum and the order or plan you choose are the whole agreement. If a part is unenforceable the rest stays. A failure to enforce a right is not a waiver. No one else has rights to enforce these terms.
